This document refers to conditions of trading
of The Druid Network :
- In selling Publications to a third party for resale
- Offering events, talks, seminars, courses etc
- Offering its servants or agents or others to act in deliverance of
priestly or other roles.
1. General
Acceptance of the offer and its costs includes acceptance
of the following Terms and Conditions.
2. Period of Offer
The offer remains open for 30 days unless previously
withdrawn. Thereafter, the offer is subject to confirmation or adjustment
by The Druid Network.
3. Basis of Offer
(i) All increases in labour, travelling cost, out of
pocket expenses and/or material cost arising after the date of offer may
be recovered from the Customer at invoice or payment date unless the offer
expressly excludes this Condition.
(ii) The Offer is based on the work being affected during
normal working hours, Monday to Friday, unless expressly stated otherwise
in our original advertisement or invitation.
(iii) Variations or additional goods or work shall be
charged on time and material basis unless the subject of a separate quotation
accepted by the Customer.
(iv) Work by other trades, any statutory fees, or charges
for goods or work done by any statutory Supply Authority or Local Authority
or Health Authority is not included.
(vi) Whilst reasonable care will be taken, the offer
does not include for incidental decoration or redecoration or other works
or supplies consequent upon the proper execution of the offer.
4. Terms of Payment
(i) For any publications, goods or other materials, payment
in full shall be due on delivery of any goods and shall be made within
14/28* days of the date of a written application/invoice submitted by
The Druid Network.
(ii) Where the Contract Period is in excess of 4 weeks,
written applications/Invoices may be submitted monthly for the total value
of work executed -less previous payments -the net amount due to be paid
by the Customer within 14/28* days.
(iii) Failure by the Customer to make any payment as
aforesaid shall entitle the Contractor to suspend work and/or charge interest
on the amount outstanding at 40% above Base Rate of The Druid Networks
Bank from time to time in force.
5. Deliveries and Completion
The Druid Network shall endeavour to carry out the Offer,
Project or Contract work within the period stipulated or, if no period
is stipulated, within a reasonable time, but shall not be held responsible
for any loss or damage arising out of any delay, due to any cause beyond
the Networks control. The Druid Network shall endeavour to execute any
event, project etc on the date or dates originally stated in our advertisement
or invitation but shall not be held responsible for any loss or damage
arising out of any delay, due to any cause beyond the Networks control.
This latter item includes inclement weather, ill health or Acts Of God.
6. Consequential Loss or Damage
Without prejudice to the Customer's Statutory rights,
The Druid Network will pass to the customer the benefit of any guarantees
the Network has received in respect of materials supplied by The Druid
Network and undertakes to repair or, if necessary, replace free of charge
any materials or work found to be defective if the defect is due to:
Faulty workmanship by the Network, its servants or agents
and is brought to the attention of The Druid Network within 12 months
of the completion of the work, provided nevertheless that:
The Network accepts no responsibility for any drawing,
design or specification not prepared by it.
The Network's responsibility to the Customer is limited
to the fulfilment of the contract in a proper and workmanlike manner and
the Network shall not be liable for any consequential loss or damage arising
out of the execution of the Offer, Project or Contract, unless due to
the negligence of The Druid Network, its servants, or agents.
The Network shall not be liable for any wear, and tear,
loss or damage, direct or indirect, nor for any extra work or goods entailed
due to the goods or apparatus being put into operation by the Customer
or by the Network, his servants, or agents at the Customer's request before
it is handed-over for beneficial use.
The repair or replacement of any faulty goods, work or
materials shall only be carried out by the Network, its servants, or agents;
otherwise The Druid Network's warranties as to repair or replacement shall
not apply.
The Network will take reasonable care but accepts no
liability for damage to furniture or other fixtures and fittings that
have to be moved or removed by the Network or its agents, servants or
workmen in order to carry out the Offer, Project or Contract Works. Without
prejudice to this The Druid Network may maintain adequate Public Liability
Insurance cover for at least the duration of the Offer, Project or Contract
if this is included in the original agreement between The Druid Network
and the Customer, if the Customer does not maintain their own Public Liability
Insurance and The Druid Network is given the opportunity to claim the
premium as part of the Offer, Project or Contract costs.
7. Health & Safety
It is the Customer’s duty to observe and attend
to all instances of the requirements of:
- Health & safety
- Security
- Insurances
- Access
- Liaison with Police, Ambulance, Fire Brigade, Local council etc.
- First Aid facilities
- Race Relations, equal opportunities etc.
- Public health facilities
- Health and welfare
8. Exclusions by The Druid Network
The Network excludes the supply and the responsibility
for any item not agreed to in writing and signed for by at least one Committee
member of The Druid Network on our own letterheads, contracts or paperwork
or in bona fide contractual documentation prepared by others
and given to The Druid Network for perusal over fourteen days prior to
signing.
* This payment period is to be as stated in any our original
documentation of offer, or can be amended here by deleting as appropriate.
